Terms of Use

CACTUS MEASUREMENT LLC

Effective date September 11, 2026

These Terms of Use (“Terms”) govern your access to and use of cactusmeasurement.com and other webpages operated by Cactus Measurement LLC that link to these Terms (collectively, the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1 About the Site

The Site provides general information about Cactus Measurement LLC (“Cactus,” “we,” “us,” or “our”), including our multiphase flow measurement products, automation and monitoring solutions, field services, training, and related capabilities. The Site is intended primarily for business and professional users.

Website content is informational only. It is not engineering, operational, safety, regulatory, legal, tax, or other professional advice, and it is not a substitute for project-specific review by qualified personnel.

2 No Offer and Separate Agreements

Nothing on the Site is a binding offer, quotation, specification, warranty, performance guarantee, or commitment to sell, lease, service, deliver, or support any product or service. Product availability, configuration, specifications, performance, certifications, lead times, pricing, and service scope may change and may depend on operating conditions, fluid properties, installation, calibration, maintenance, regulatory approvals, and other project-specific factors.

Any purchase, lease, trial, service, license, or other commercial relationship is governed solely by the applicable proposal, quotation, purchase order accepted by Cactus, master services agreement, license, statement of work, or other written agreement signed or accepted by authorized parties (a “Commercial Agreement”). If these Terms conflict with a Commercial Agreement, the Commercial Agreement controls for that transaction.

3 Eligibility and Authority

You may use the Site only if you are legally able to enter into these Terms. If you use the Site on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

4 Permitted Use

Subject to these Terms, Cactus grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for lawful internal business and informational purposes.

You may not:

5 Your Submissions

You retain ownership of information and materials you submit through the Site. You grant Cactus a non-exclusive, worldwide, royalty-free license to use, reproduce, transmit, and disclose those submissions as reasonably necessary to respond to you, evaluate your request, provide or improve our products and services, protect the Site, and conduct our business, subject to our Privacy Policy and any applicable Commercial Agreement.

You represent that you have the right to submit the information and that doing so does not violate law, confidentiality obligations, or third-party rights. Do not submit export-controlled technical data, classified information, personal health information, sensitive personal information, or third-party confidential information through a general website form unless Cactus specifically requests it and authorizes the transmission method.

Submitting an inquiry does not create a confidential, fiduciary, advisory, agency, partnership, or customer relationship. Confidentiality obligations arise only under an applicable written agreement.

6 Intellectual Property

The Site and its content, including text, graphics, photographs, videos, software, designs, page layouts, product names, logos, trademarks, service marks, and other materials, are owned by or licensed to Cactus and are protected by intellectual-property laws. Except for the limited right to use the Site under these Terms, no license or ownership right is granted by implication, estoppel, or otherwise.

Cactus Measurement, DGX, related logos, and other Cactus marks are trademarks or service marks of Cactus or its licensors. Third-party names and marks belong to their respective owners. Reference to a third-party product or company does not imply endorsement except where expressly stated.

7 Accuracy and Availability

We seek to provide useful and accurate information, but Site content may be incomplete, outdated, or contain errors. Images and diagrams may be illustrative and not to scale. We may change, suspend, restrict, or discontinue any part of the Site at any time without notice. We do not promise that the Site will be uninterrupted, secure, or error-free.

8 Safety and Operational Responsibility

Oilfield equipment and operations involve significant risks. Site content must not be used as the sole basis for equipment selection, installation, operation, maintenance, regulatory compliance, allocation, custody transfer, safety-critical decisions, or field procedures. Users are responsible for independent engineering review, hazard analysis, regulatory compliance, proper training, and adherence to approved manuals, procedures, specifications, and site requirements. Only current, project-specific documentation issued or approved by Cactus under a Commercial Agreement should be relied upon for a Cactus product or service.

9 Third Party Sites and Services

The Site may contain links to, integrations with, or content from third parties. Cactus does not control and is not responsible for third-party content, products, services, availability, security, or privacy practices. Your use of a third-party service is governed by that third party’s terms.

10 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” CACTUS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, SECURITY, AND QUIET ENJOYMENT. THIS DISCLAIMER APPLIES TO THE SITE ONLY AND DOES NOT MODIFY AN EXPRESS WARRANTY IN AN APPLICABLE COMMERCIAL AGREEMENT.

11 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CACTUS AND ITS AFFILIATES, OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, PRODUCTION, OR USE, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF CACTUS AND THE OTHER CACTUS PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED, AND THEY DO NOT REPLACE THE LIABILITY TERMS OF AN APPLICABLE COMMERCIAL AGREEMENT.

12 Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Cactus and its affiliates, owners, directors, officers, employees, agents, licensors, and service providers from claims, losses, liabilities, damages, judgments, costs, and expenses, including reasonable attorneys’ fees, arising from your unlawful use of the Site, your violation of these Terms, or your infringement or misappropriation of another person’s rights.

13 Export Controls and Sanctions

You may not use, export, re-export, transfer, release, or otherwise make available the Site or Site content in violation of United States export-control, economic-sanctions, or antiboycott laws, or other applicable trade restrictions. You represent that you are not prohibited from receiving the Site or its content under applicable law. Product export, import, licensing, end-use, and end-user requirements are addressed separately in the applicable Commercial Agreement and transaction documents.

14 Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute arising solely from the Site or these Terms must be brought exclusively in the state courts located in Harris County, Texas, or the federal courts serving Harris County, Texas, and each party consents to personal jurisdiction and venue there. This section does not alter dispute-resolution provisions in an applicable Commercial Agreement.

15 Changes to the Site or Terms

We may update these Terms by posting a revised version on the Site. The revised Terms become effective on the date stated at the top. Your continued use of the Site after that date constitutes acceptance of the revised Terms. We may restrict or terminate access to the Site if we reasonably believe a user has violated these Terms or poses a risk to the Site or others.

16 General Terms

If a provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, reorganization, sale of assets, or by operation of law. These Terms, together with the Privacy Policy, are the entire agreement concerning use of the Site and supersede prior or contemporaneous understandings on that subject. Headings are for convenience only.
